Florida’s Uniform Protected Series LLC’s

September 15, 2026

A business can exist and operate under various business entity designations such as “Sole Proprietorship”, “Partnership”, “Corporation”, and “Limited Liability Company (LLC)”.  While many of the key differences between these types of entities pertain to tax consequences or implications, which are beyond the scope of this article, suffice it to say that an LLC is a popular choice of business entity designed to give small business owners the best parts of different structures. They are popular because they can provide personal asset protection and may not require a separate corporate tax.

Florida’s Uniform Protected Series Provisions (Fla. Stat. § 605.2101 through Fla. Stat. § 605.2802), effective July 1, 2026, for the first time give Florida LLC’s the ability to establish “protected series” under a single master company.   The master LLC (also referred to as the “series” LLC) is effectively the parent LLC, and each “protected series” within the master LLC is treated as a distinct legal entity for the purpose of operations, assets, and liabilities.  This enables segregation of the assets and liabilities of each protected series from the assets and liabilities of other protected series and from the assets and liabilities of the master LLC.

By using protected series, LLC members can now form a single LLC rather than multiple LLC’s.  The benefit is to avoid separate filings, associated costs, and other administrative burdens.  In our practice, real estate investors have traditionally been advised to create a separate LLC for each property they own.  The availability of protected series designations now enables these investors to operate all properties under the same LLC, as long as the proper protected series designations are created.

Any existing Florida LLC may become a “series LLC” by establishing a “protected series”.  This is done by filing a Designation of Protected Series on Sunbiz and paying the $25.00 fee.  The “series LLC” must still file an annual report as usual. But it is not a separate entity and will not have its own record/document number or page. Instead, the series LLC’s annual report will automatically list all designated “protected series” under that LLC.

The “protected series” status will be maintained only if the protected series creates and maintains records detailing the name of the protected series, describing the asset as evidence of the connection between the asset and the “protected series”, and other details required by law.  Failure to do so will result in losing the protection.

Adis went above and beyond to help my mom and my family. She took the time to explain everything to my mother and I with empathy and care. She was patient and explained things in a way that my mom could comprehend and feel comfortable in the decisions she was making. Honestly we cannot thank her enough, she is a professional with such personal care. Something my family and I belief is rare nowadays.

I hired Mrs Adis Riveron to take care of a difficult case of my mom’s estate. It involved family members. Mrs Riveron is an excellent attorney. Very helpful, knowledgeable and reachable. Definitely I will give her 5 stars and recommend her.

Highly recommend Adis Riveron – phenomenal attorney, If you’re searching for a good and honest attorney that has the client’s best interest in mind, you must hire Adis Riveron. My family and I were dealing with an unfair lawsuit and originally hired another attorney that promised us the world. We thought he would help us, we were wrong. He was just money hungry, charged every time we would speak to him for a simple question, extremely unprofessional and steered us in the wrong direction. He ended up spending our entire retainer and we got absolutely no where! Terrible experience. Luckily, Adis came to the rescue. From the second we spoke to her, she was honest, caring and very straightforward. She truly cared about us and the case and didn’t charge us every time we spoke to her. What took that attorney years, took Adis a few days to resolve and settle our case. She is extremely sharp, knowledgeable and will help you get things done in a timely manner. I highly recommend Adis! Adis, thank you so much for going above and beyond for me and my family. We truly appreciate it and you!

After hiring 3 attorneys on various occasions and finding out that nothing is done, years later; is truly a disgusting experience not to mention the time and money spent for nothing. Attorney Riveron, saved my son and Clearly was a Professional and Immediately reacted and viewed as well as wrote to the Courts to try to assist in solving all the mess and unsolved issues that the previous attorneys had left and NEVER resolved. I recommend Attorney Riveron to anyone that needs Legal assistance and wants to Move Forward with a resolution or resolutions.

Our experience was excellent, We had problems with the warehouse Landlord for an injustice matter. Dr. Riveron resolved the case in three days and the results were successful for both parties

Adis is very responsive and responsible. She makes herself available to the client and always assist with any inquiries. If she can not handle it herself she will guide you in the right direction. I definitely recommend Adis.
